These General Terms and Conditions (“Terms”) apply to all orders and contracts concluded via our 
website or other means, between consumers and Lupine Lighting Systems GmbH.

All offers, deliveries, and services are provided exclusively on the basis of these Terms.

Our product listings are non-binding. By placing an order, the customer makes a binding offer. The
contract is concluded when we confirm the order in writing or ship the goods. Our sales staff is not
authorized to make verbal assurances or commitments deviating from the written agreement.

All prices are stated in EUR (€) and include statutory German VAT unless otherwise indicated (e.g.,
for non-EU customers). Shipping costs and any applicable customs duties or import taxes are
borne by the buyer.

We accept payment by Visa and Mastercard, PayPal, or prepayment. In the case of prepayment,
dispatch occurs after full receipt of payment.

If paying by credit card, the order must include the card number, expiration date, and CVV code.
We use secure, encrypted methods for processing payment information in compliance with data protection laws.

Delivery is carried out via DHL or UPS. Deliveries within Germany are subject to a flat shipping
charge of 4.90 EUR.

International deliveries are calculated either by flat rate or actual cost depending on destination
and are displayed during the checkout process.

Unless otherwise expressly agreed in writing, delivery times are non-binding. We are not liable for
delays caused by circumstances beyond our control (e.g., natural disasters, customs delays (force
majeure)).

We reserve the right to withhold delivery if the buyer is in default under any existing obligations.

Risk of accidental loss or deterioration transfers to the buyer when the goods leave our premises,
even if delivery is made freight-free or insured.

We retain title to the goods until full payment of all receivables from the business relationship has
been made.

The buyer must inform us immediately if third parties attempt to access the goods (e.g. through
seizure or enforcement).

Asserting the retention of title does not equate to withdrawal from the contract.

Consumers have the right to withdraw from the contract within 14 days without giving a reason.
Instructions on the right of withdrawal, including a standard form, are provided separately.
The buyer bears the direct cost of return unless otherwise agreed.

Returns require prior written agreement from us. Refunds are processed using the original payment
method unless otherwise arranged.

All product information is given to the best of our knowledge but does not release the customer
from their own inspection and suitability check.

Defects must be reported immediately upon receipt and no later than 14 days. In the case of
hidden defects, notice must be given upon discovery but no later than 24 months from receipt.

Excluded from the warranty are light sources and rechargeable batteries, as well as damage due to
misuse, modification, unauthorized repair, accidents, or external influences.

Warranty claims are not transferrable and are available only to the original buyer.
In the event of a defect, we may choose to replace, repair, refund, or reduce the purchase price.
Goods may only be returned with our prior written approval.

If the buyer is an entrepreneur, the delivered goods must immediately be inspected upon receipt
for defects with regard to condition and intended use; otherwise, the goods shall be deemed to
have been approved by the buyer.

If the buyer is an entrepreneur, the warranty obligation shall be limited to replacement delivery,
reduction of the purchase price or rectification of defects, at our discretion. Rejected goods may
only be returned with our express consent.

We are liable without limitation for intent, gross negligence, and in cases of injury to life, body,
or health.

For slightly negligent breaches of essential contractual obligations, liability is limited to
foreseeable damages typical for this type of contract.

We are not liable for damages arising from improper use, including prohibited use in Germany.

Liability under the German Product Liability Act remains unaffected.

In case of late payment, we reserve the right to charge a reminder fee of EUR 5 per notice
and interest at 4% above the base rate of the Deutsche Bundesbank. We reserve the right to assert
further claims.

We process personal data in accordance with the General Data Protection Regulation (GDPR) and
the German Federal Data Protection Act. For details, please refer to our Privacy Policy.

These Terms, and contracts concluded between Lupine Lighting Systems GmbH and consumers,
are governed by the laws of the Federal Republic of Germany. However, if you are a consumer with
your habitual residence in another EU member state, you retain the protection of the mandatory
consumer protection laws of that country.

The place of performance for our delivery obligations and the exclusive place of jurisdiction for all
disputes arising from the contractual relationship is the registered office of Lupine Lighting
Systems GmbH, unless mandatory legal provisions prescribe a different forum.

Standard housing color is black anodized. For special color requests or custom models, please
contact us in advance.

If any provision of these Terms is or becomes invalid, this shall not affect the validity of the
remaining provisions.

We reserve the right to update these Terms from time to time.
